Areas of Practice

1. Business Registration Assisting MSMEs with the registration process, such as obtaining the necessary licenses and permits, registering under the appropriate business structure (sole proprietorship, partnership, private limited company, etc.), and obtaining the required tax registrations like Goods and Services Tax (GST) registration.
2. Contract Drafting and Review: Helping MSMEs with drafting and reviewing various contracts, including but not limited to, supplier agreements, customer agreements, employment contracts, non-disclosure agreements (NDAs), and lease agreements. This ensures that the terms and conditions are fair, enforceable, and protect the interests of the MSME.
3. Intellectual Property (IP) Protection: Assisting MSMEs in securing and protecting their intellectual property rights, such as trademarks, copyrights, and patents. This involves conducting searches, filing applications, and handling any infringement issues that may arise.
4. Compliance and Regulatory Matters: Advising MSMEs on compliance with applicable laws and regulations, including labor laws, environmental regulations, data protection laws, taxation requirements, and other industry-specific regulations. This ensures that the MSME operates within the legal framework and avoids any penalties or legal issues.
5. Dispute Resolution: Providing legal assistance in resolving disputes through negotiation, mediation, or arbitration. This includes representing MSMEs in court proceedings if necessary, such as civil litigation, debt recovery cases, and commercial disputes.
6. Employment Law: Assisting MSMEs in understanding and complying with employment laws, including drafting employment contracts, employee handbooks, and policies, ensuring compliance with minimum wage laws, addressing disciplinary matters, and handling employee terminations.
7. Corporate Governance: Advising MSMEs on corporate governance matters, including board meetings, shareholders' agreements, director's responsibilities, compliance with the Companies Act, and other corporate legal requirements.
8. Debt Recovery under Samadhan Scheme: Assisting MSMEs in recovering outstanding debts and managing debt recovery processes, including sending legal notices, initiating recovery proceedings through Samadhan, and representing the MSME in MSEF Council, other debt recovery tribunals or courts.
9. Legal Due Diligence: Conducting legal due diligence for MSMEs in transactions such as mergers, acquisitions, or partnerships to assess the legal risks, liabilities, and compliance status of the target company.
